Karaa Global Policy
Exit, Transfer & Liquidity Provisions
Holding periods, transfer conditions and exit mechanisms. This document establishes the applicable Karaa Global framework for electric-mobility opportunities and participating investors.
Overview
This policy sets out the terms on which eligible investors may participate in electric-mobility projects and investment opportunities presented through the Karaa Global Investor Forum. It should be read with the project information memorandum, definitive agreements and applicable disclosures.
Scope & Applicability
This policy applies to prospective and admitted investors considering opportunities originated, sponsored, advised or presented by Karaa Global, including:
- all electric-mobility projects listed in the Investor Forum;
- co-investment structures and special-purpose entities;
- ancillary infrastructure, energy assets and real-estate components; and
- future projects of a substantially similar nature.
Investor Eligibility
Participation is subject to completion, to Karaa Global’s satisfaction, of the following requirements:
- 3.1Identity and KYC. Verification of identity, address, beneficial ownership and applicable know-your-customer information.
- 3.2Source of funds. Evidence demonstrating a lawful and acceptable source of committed capital.
- 3.3Project-specific eligibility. Satisfaction of financial, residency, accreditation or other criteria stated for the opportunity.
- 3.4Risk disclosures. Review and acknowledgement of all relevant project and investment risks.
- 3.5Definitive investment documents. Due execution of subscription, shareholder, contribution or related agreements.
Investment Terms
Commercial terms are established separately for each opportunity. Unless expressly varied in the definitive documents, the following principles apply:
- Minimum Participation
- As specified in the project offering
- Capital Commitment
- Funded in one or more documented tranches
- Investment Period
- Project-specific; subject to milestone and long-stop dates
- Returns
- Not guaranteed; dependent on project performance
- Fees & Charges
- Fully disclosed in the relevant offering documents
Governance & Reporting
Governance arrangements will reflect the investment structure, participation level and rights set out in the definitive agreements. They may include:
- Investor information rights and reasonable access to specified records;
- Periodic project updates covering financial and operational progress;
- Material-event notifications where a significant development affects the project; and
- Voting or consent rights on reserved matters, where expressly granted.
Risks & Disclosures
Electric-mobility investments may be affected by project-execution, market-demand, regulatory, construction, technology, counterparty, liquidity and return risks. Investors must independently evaluate each opportunity and obtain professional advice appropriate to their circumstances.
Exit & Transfer
Interests may be subject to minimum holding periods, transfer restrictions, rights of first refusal and prior approval requirements. Liquidity may be limited or unavailable. Any buyback, sale, refinancing, project realisation or other exit mechanism will be governed exclusively by the applicable project documents.
Amendments
Karaa Global may amend this policy to reflect legal, regulatory, operating or investment-framework changes. Material revisions will be identified below and apply from their stated effective date.
